Terms of Use

1. About these terms

Planner (the "App") is a personal organizer with a calendar, notes, to-do lists and a journal, provided by Adaptive Cogito LLC ("we", "us", "our"). It is available as a web app and as a mobile app. These Terms of Use ("Terms") are an agreement between you and Adaptive Cogito LLC about your use of the App and of the online service it connects to.

By creating an account or using the App you confirm that you have read and accepted these Terms and our Privacy Policy. If you do not agree, please do not create an account and do not use the App.

2. What the App does

The App lets you:

  • plan your days with calendar entries (tasks, events, notes and reminders) that can repeat, and view them by year, month, week and day;
  • write notes, arrange them on a board and in groups, and schedule a note to a day in the calendar;
  • keep to-do lists with checklist items;
  • write a journal with one entry per day, including a mood, links, images and stickers;
  • attach images and drawings to entries, journal entries and stickers, taken from your files or drawn in the App;
  • choose a language and a colour theme, and switch reminders on or off in your account settings;
  • see an audit log of the changes made in your account.

3. Your account

  • To use the App you need an account. You must give us a real name and an email address that you control, and confirm the address with the code we send you.
  • You are responsible for keeping your password secret and for everything that happens under your account. Tell us promptly if you think someone else is using it.
  • You must be old enough to enter a binding agreement in your country, and in any case at least 16 years old, or have the consent of a parent or guardian.

4. Your content

Everything you add to the App (entries, notes, to-do lists, journal entries, links, images, drawings, stickers) is "your content". You keep all rights you have in it.

You give Adaptive Cogito LLC a limited, worldwide, non-exclusive, royalty-free licence to store, copy, transmit, process and display your content only as far as needed to run the App for you. The licence ends when your content is deleted, except for the short period it may remain in technical copies.

You confirm that you have the right to upload your content and that it does not infringe the rights of anyone else. Do not upload photos of other people without their permission.

Your content is private. We do not publish it and other users of the App cannot see it. Images and drawings are kept in private cloud storage and are only shown to you.

5. Acceptable use

You agree not to:

  • break the law or use the App to store or share unlawful, defamatory, hateful, sexually explicit or otherwise harmful content;
  • access or try to access another person's account or data, or the systems that run the App;
  • probe, scan or test the security of the service, or interfere with or overload it, for example with automated or excessive requests;
  • upload viruses or any code intended to damage or disrupt the service;
  • copy, resell, decompile or reverse engineer the App, except where the law allows it despite this restriction.

6. Reminders and the calendar

The App is a convenience for organising your time. Dates, times and recurring entries are shown according to the clock and time zone of your device, and reminders, where they are offered, can be late or missing, for example when notifications are not allowed, the device is in a power-saving or silent mode, or it is switched off. Do not rely on the App alone for appointments, medication, deadlines or anything else where a missed reminder could cause harm or loss.

The App does not give medical, legal, financial or other professional advice.

7. Deleting your content and your account

  • You can delete entries, notes, to-do lists, journal entries and images at any time.
  • You can delete your account in the App under Account > Delete account. You must enter your password to confirm. Deletion is immediate and cannot be undone. The Privacy Policy explains exactly what is erased.
  • We may suspend or close an account that breaks these Terms, puts the service or other users at risk, or if we are required to by law. Where reasonably possible we will tell you why.

8. Availability and changes to the App

We work to keep the App available but we do not promise that it will always be available, error free or free from data loss. We may change, add or remove features, and we may stop providing the App, with reasonable notice where possible. Keep your own copy of anything you cannot afford to lose.

9. Disclaimer and limitation of liability

The App is provided "as is" and "as available". To the maximum extent permitted by law, we give no warranties other than those that cannot be excluded by law, and we are not liable for indirect or consequential loss, loss of data or profit, or for any harm that results from a missed or late reminder or from relying on the App for time-critical matters.

Our total liability to you for any claim related to the App is limited to the greater of the amount you paid Adaptive Cogito LLC for the App in the 12 months before the claim and 50 euros (or the equivalent in your currency).

Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law, such as liability for death or personal injury caused by negligence, for fraud, or your mandatory rights as a consumer.

10. Changes to these Terms

We may update these Terms, for example when we add features or when the law changes. The date at the top shows when they were last updated. If a change is material we will tell you in the App before it takes effect. If you keep using the App after the change, you accept the updated Terms; if you do not accept them, you can delete your account.

11. Governing law

These Terms are governed by the laws of the country in which Adaptive Cogito LLC is established. If you are a consumer, this does not take away the protection of the mandatory consumer laws of the country where you live, and you may also bring a claim in the courts of that country.
